Causedirect Terms of Use for Individuals

1. Preamble

This Privacy policy aims to give you more control over your information and more clearly explains how we use it. Our core commitments regarding your privacy have not changed, including the commitment in our Charter to never sell your data.
You can read the updated policy below. Our Terms of use as well as our Cookie Policy have been adapted to this policy so that everything is synchronized. As always, thank you for using Causedirect, and please let us know if you have any questions or comments.

Welcome to www.causedirect.org a collaborative Internet platform (hereafter “the Website”) operated by Causedirect Ltd ("Causedirect", "we" or "us"). Causedirect is a Swiss-based not-for-profit company that provides web-based solutions and advisory services to support charities and organizations, such as but not limited to, corporations, intergovernmental organizations, higher education institutions and municipalities (hereafter the “Organizations”), in their fundraising and community engagement efforts. Causedirect offers a internet portal (the “Portal”, or the “Engagement Portal”), including a fundraising platform (hereafter the “Platform”) that can be used by the Organization following a registration to host a fundraising page featuring its programs and/or projects (hereafter the "Fundraising Page", or the “Page”).
We are grateful for your interest in using the Platform to support the charities and projects featured by Causedirect.
These Terms apply to you if you are an individual user (hereafter a "User", an “Individual User” and/or a “Donor”) seeking to use Causedirect and/or your organization’s Engagement Portal to express your community engagement, by either donating money, raising funds, organizing activities and/or events or by volunteering.

By registering your details with the Platform and by using this Website and services (together with the Website, the “Services”) offered by us, you:

(a) acknowledge that you have read and agree to be bound by:

I. The present Terms of Use (the "Terms");
II. Our Privacy Policy and Cookie Policy, a copy of which is annexed to the present Terms;
III. All technical specifications, rules of operation, security procedures and any other terms and conditions set forth by Causedirect from time to time on the Platform;

(b) agree to be bound by such revised terms as they may be posted on the Platform from to time; and

(c) confirm that you are 18 years of age or older.

Nothing in these Terms may be construed to create or confer any rights on third-party beneficiaries. If you do not agree to any of the terms and conditions set forth herein, you may not use the Platform nor the Portal.

2. Description

Who we are
CauseDirect is a company aiming at raising awareness around the sustainable development agenda as defined by the United Nations (UN Sustainable Development Goals – UN SDGs) and accelerating its implementation.

The Sustainable Development Goals (SDGs), otherwise known as the Global Goals, are a universal call to action to end poverty, protect the planet and ensure that all people enjoy peace and prosperity.

We strive to be the first Swiss-based collaborative Platform that connects and mobilises people around social and environmental causes, creating communities of impactful change-makers to move forward the sustainable development agenda and the SDGs.

Causedirect's allows Changemakers to support their favorite charities and projects (hereafter the “Featured Charities” and the “Featured Projects”) in a quick, easy and efficient manner, while providing them complete electronic records for personal accounting and tax purposes.

To achieve this goal, Causedirect seeks to collaborate with organizations that share its values, as well as its vision, bringing them together under one roof to make it easier for them to widen their audience and advertise themselves to new potential Donors, and for Donors to donate directly to a Featured Charity or Featured Project, with the ultimate aim to increase the fundraising goals of the Featured Charities and/or Featured Projects.

What We Do
Causedirect brings together businesses, the civil society, and NGOs to recognize, fund and advance sustainable solutions within the framework of the SDGs. In particular, Causedirect helps on the one hand sustainable projects to find the resources they need to fulfill their goals and on the other hand enables people and organizations to achieve a positive and lasting impact on society, by: Raising awareness about SDGs within the civil society as well as within businesses and academies.
Spotting the causes and projects generating the highest impact on society and on the environment.
Creating and enabling an environment for community action.
Encouraging solidarity commitment within Organizations.

Why we do it:
We believe that engaging each individual within an Organization to take action or participate in supporting or initiating causes, can have a great impact on the advancment of the sustainability agenda.

How we do it:
We connect people in organizations to highly innovative and ground-breaking projects that are aligned with the SDGs.

This connection is done via a public Internet Platform as well as via a Portal, enabling Organizations to:
Communicate with their staff / citizens / students about their SDG strategy and monitor progress;
Empower them to engage as social change-makers;
Support causes via a donation-based crowdfunding Platform, including a grant matching tool and volunteering capabilities.

3. Our governance

Causedirect is managed by a Chief Executive Officer supervised by an Advisory Board and an Executive Board.

4. Causedirect’s financial sustainability and characteristics

Our revenues derive mainly from a fee invoiced to the Organizations who apply to create their own portal and calculated based on the functionalities that the Organizations choose to have on their portal as well as the Organizations’ size (number of employees/students/civil servants/citizens etc.).
Causedirect does not retain any percentage of the donations which go entirely to the designated Featured Charity or Featured Project.
The Featured Charity or Featured Project receive all of the donations, save for any credit card fee or processing fee charged by the payment processor, in this case, PayPal.
Tax certificates are issued directly by the Featured Charities and Featured Charities to the Donor.
Causedirect commits to give back at least 10% of its surplus revenues (after expenses and disbursements) to registered charities of its choice. 

The Portal includes:
- A donation-based crowdfunding Platform;
- A tool enabling the creation of grant-matching programmes (“Grant-Matching Programmes”) as defined at Article 8;
- Various functionalities empowering individuals and Organizations to take action in good cause either by creating activities and/or events around the causes or projects they care about, by giving money to them, raising money for them or by volunteering and mentoring around them;
- An integrated dashboard enabling real time engagement monitoring from anywhere via smartphone and tablets.
- A tool enabling an individual and/or an Organization to create a page (the “Page”) to make their engagement public, show their support for causes and/or projects as well as their planned events or activities.

Each page on the Platform is multi-lingual to ensure that the widest possible audience can be reached by the Featured Charities and that the widest selection of donation choices is available to the Donors. The Platform is global, hosting information in relation to non-profit organisations all over the world.

5. Featured Projects

These Terms apply to you if you are an individual seeking to express your community engagement and use Causedirect or a Portal to create and/or post causes and projects and organize initiatives and events on Causedirect or on a Portal to gain financial support from people and Organizations using Causedirect or a Portal.

Should you want to post a Project or a Cause and once your Project or your Cause is registered with Causedirect, and provided that your Project or your Cause meets Causedirect’s eligibility criteria as explained below, it becomes a "Featured Project" or a “Featured Charity”.

The Featured Charities are carefully selected by Causedirect. Transparency is important to us, and we make sure that donations are carefully tracked and that your grant is executed according to your wishes and preferences. We also collaborate with Featured Charities to keep you posted on the development of the Featured Project or Featured Charity to which you have donated. If you wish to be so informed, you will have an option to sign up for these periodic reports each time you make a donation. The Platform which hosts the information in relation to the Featured Charities and which is currently found at www.causedirect.org is the property of Causedirect and the Platform operation and maintenance are kept in-house. 6. Registration procedure

As a User, you are not obliged to create an account to use the platform although we recommend you to do it as it would help you create your own network of change-makers, generate maximal impact on society and inspire your friends and colleagues to do the same. If you do want to create your account and provide that you agree to all of the terms and conditions set forth herein as well as our Privacy Policy and our Cookie Policy, we will ask you to provide certain information, such as your first name, last name, and various information, such as but not limited to, your hobbies, your favorite quotes, your inspiring personalities, your engagement, your causes, your skills your availabilities for a volunteering mission, etc.  You will also be asked to provide an email address and password. 
You are responsible for all your activities and your information, as well as for keeping your login and password secure.

We may refuse to grant you access, or refuse to create a profile with a login that:

(a)    impersonates someone else;
(b)    may be protected by trademark or proprietary rights law; or
(c)    is vulgar, offensive, or otherwise inappropriate,
as determined by us in our sole discretion.

Any attempt to access restricted areas without authorization is prohibited.  You agree that if you become aware of any unauthorized use of Causedirect, your City or more generally your organization Portal, password or other security breach, you will notify us immediately by using the form on our contact page.
Causedirect will have access to all information you submit to the Platform or to the City Portal you may use or to the portal of the Organization you may work with.

7. Charitable contributions

Causedirect seeks to maximize the effectiveness of fundraising, charitable activity and philanthropic support by ensuring that your donations go directly either to your selected charity or the featured project or to the account created for that purpose by the organization for which you work and using a Portal. In both cases, Causedirect doesn’t act as and is not a financial intermediary.

Your donation will be credited directly to Featured Charities, with real time updates both on your profile and on the Featured Charity’s Fundraising Page.

Causedirect will follow its normal charitable contribution receipt process in acknowledging charitable contributions.

Causedirect will not be responsible if, for any reason save for willful actions of Causedirect, Donations cannot reach the intended recipient. 

All contributions made through the Platform and/or through an Employee Engagement Portal you may use and provided by Causedirect are final and cannot be cancelled, returned or refunded.

Only the authorized credit card holder may donate using the Platform and/or the Employee Engagement Portal provided by Causedirect. You may not enter donations on behalf of other persons.

8. Corporation Grant-Matching Programs & Fundraising events

A grant-matching program (hereafter “Grant-Matching Program” or a “Program”) is a program where a donation made to a non-profit organization is linked to a separate contribution from another donor (in most cases, an organization such as a corporation), to encourage donations. Many companies offer grant-matching programs to motivate employee contributions to non-profit organizations.
Matching can be one dollar to one dollar or partial matching for every dollar, and sometimes matching can be multiples of the initial donation.

If you are an employee who wishes to participate in such Grant-Matching Program or an event organized by your Company, your Organization or your City, you must register with your company’s Portal, your organization’s Portal and/or your City Portal, in addition to Causedirect and agree to Causedirect’s Privacy Policy and Cookie Policy. 
You agree that you are independent of Causedirect and are not employed by, an agent of, or affiliated with Causedirect.  You do not have authority to act on behalf of, speak for, or obligate Causedirect in any manner, except to use authorized Causedirect online Platform and materials to raise funds to support charitable causes through the Platform.

9. Volunteers & Fundraisers Featured on the Platform

You may choose to volunteer, as well as organize or sponsor events and activities, including sporting events and competitions as means of raising contributions in support of charitable causes or projects through the services provided by Causedirect or by the Portal of your Organization or your City which may or may not be Featured Charity-sponsored events.  You agree and acknowledge that:

(a) neither Causedirect nor any of its affiliates, sponsor, endorse such events, and are involved in, or control over the planning, organization, or carrying out of such events;
(b) you take full responsibility to assume all risk if you decide to be involved in such events; and
(c) neither Causedirect nor any of its affiliates will be liable to you for any direct or indirect damages, including consequential, exemplary, special, punitive, or incidental damages arising from your involvement in such events.

10. Expression of User Preference About Use of Funds

The Platform and your organization and/or your City Portal, if you use any, provide an opportunity for you as a Donor to indicate the Featured Charity to which you wish to donate, volunteer or raise money for. In addition, if you would like to further express your preference as to how the Featured Charity should use these funds, you may designate your donation for a specific Featured Project by completing the "project box" when making your online donation. If you express such a preference, it will be communicated to the Featured Charity or Featured Project of your preference exactly as expressed by you in the "project box." However, Causedirect does not guarantee that the Featured Charity or Featured Project organizers will use the funds in a manner consistent with any such preference and Causedirect is not responsible for, nor will be held liable for, the Featured Charity or Featured Project organizers’ ultimate handling of such preferences.
You hereby acknowledge that any designation of a donation's use is merely an expression of preference and does not give rise to any contractual obligations for Causedirect, the Featured Charity or Featured Project to which a donation is made. The designated Featured Charity or Featured Project organizers have the sole discretion over whether to honor the Donor's request and use the funds for the designated purpose.

11. Intellectual Property

The Platform which hosts the information in relation to the Featured Charities and which is currently found at www.causedirect.org as well as the community engagement Portals that are proposed to and used by Organizations are the property of Causedirect. The Portals and Platform and their operation and maintenance are kept in-house.

The intellectual property rights, including but not limited to copyright, trademark, patent, trade dress, derivative works, moral rights, trade secrets and proprietary information in all content that appears on Causedirect’s Website (other than user content posted by you on Causedirect or on the portal of your Company, your Organization or your City), including but not limited to, information, text, data, photographs, audio, video, images, graphics, documents, logos and other content, associated technology and software, and the look and feel of the Portal as well as of the Platform (collectively, "Portal Content" and “Platform Content”), are owned by Causedirect or its licensors. 

Except as expressly permitted in these Terms, you agree not to copy, alter, frame, distribute, publish, sell, prepare derivative works based on, or commercially exploit any Portal and Platform Content, and Page template that you use without express written permission from Causedirect or its licensors.

12. Appropriate User Conduct

The services you are receiving from Causedirect are provided for personal, non-commercial use to promote charitable giving and philanthropy and encourage and facilitate your community engagement.
No one shall use these charitable services or the Platform for any commercial purpose, or for any other purpose without our express prior written consent.  Causedirect does not promise or provide any goods or services to you such as tickets to events or commercial discounts and prohibits others from promising or providing any goods and services to you.  Neither you nor anyone connected with you of any online donation on Causedirect may receive, or be promised to receive, any goods or services as a result of such a donation that would result in a reduction in the amount that is eligible for a charitable contribution deduction.
You may not use the services provided by Causedirect or the Platform for any illegal or unauthorized purpose. While using the Platform and/or the services offered by Causedirect, you must comply with all applicable domestic and international laws, statutes, ordinances and regulations.

13. Appropriate User Content

The Platform and the Company, the Organization and/or City Portal you may use allow you, to upload, post and/or share information, text, data, photographs, audio, video, images, graphics, logos, symbols, documents, blogs and other content (collectively the “User Content”, or the “Content”).
Causedirect will periodically review and moderate the User Content posted on the Platform and has the right to remove any User Content and/or suspend or modify the rights of any user in Causedirect’s sole discretion.
Causedirect permits you to use the Platform and/or the Portal of your Organization, the tools and services provided by Causedirect subject to your acknowledging and agreeing to the following conditions:

13.1   Causedirect does not assume responsibility for the accuracy or completeness of any information, ideas or opinions contained on your Page or other Pages you may create or blogs you may participate in.  Causedirect is not liable for any claims, damages or losses resulting from any such information, ideas or opinions;

13.2    User Content does not reflect the views of Causedirect and belongs to the individuals or organisations who authored those views;

13.3   Causedirect will seek to remove or edit, with or without notice to the author, any User Content that we deem to be unlawful, obscene or in violation of these Terms.  We may, but are not obligated to, remove any other User Content that we determine in our sole discretion is fraudulent, threatening, libelous, defamatory or otherwise objectionable, or which infringes or violates any party’s intellectual property or other proprietary rights.  Our failure to block or remove any User Content, however, is not a warranty, endorsement, representation or guarantee regarding such User Content;

13.4   Any posting on your Page or on the Portal you are using is solely your responsibility; and you shall bear the sole responsibility for your Content and the consequences of such Content to the Platform and to the Portal;

13.5    You represent and warrant that your User Content does not infringe the copyright, trademark, publicity/privacy right and/or other intellectual property or proprietary rights of any third party;

13.6    You agree not to:

(a)    advertise or sell any goods or service on your Page.  This includes your agreeing not to upload to, post, share or otherwise publish through the Platform any content that is commercial in nature, including but not limited to promotional material, advertising or solicitation for goods or services (other than materials that directly promote your charitable fundraising);
(b)    operate, conduct or promote, directly or indirectly, raffles, lotteries or other similar gaming activities, whether for charitable purposes or otherwise; (c)    upload, post or distribute any Content which, in Causedirect's sole determination, is false, indecent, unethical, defamatory, disparaging to the reputation of any individual or business, obscene, offensive, threatening, profane, harmful to minors in any way, threatening, invasive of privacy or publicity rights, abusive, illegal, harassing, violent, tasteless, denigrating, insensitive, pornographic or sexually oriented, or otherwise objectionable, or would constitute or encourage a criminal offense or other illegal activity and/or violate the rights of any party or any law.

(a) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, or contains explicit or offensive descriptions of sexual matters;
(b) encourages conduct that would constitute a criminal offense or that gives rise to civil liability;
(c) violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity or other proprietary rights;
(d) victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
(e) impersonates any person, business or entity, including Causedirect, or its employees and agents;
(f)  violates these Terms or any other policy posted on the Platform; and/or
(g) interferes with others’ use of the Platform or the services provided by Causedirect.

13.8 By posting, uploading or otherwise sharing your User Content on the Platform or on the Portal of your City or your Organization, you:

(a) grant to Causedirect a perpetual, non-exclusive, royalty-free, license to use the User Content for all purposes in furtherance of its purpose and mission, including but not limited to: displaying on the Platform or creating derivative works based on the User Content and/or other uses for promoting a Featured Charity and/or Featured Project;
(b) permit, but not require, Causedirect to identify you as the provider of such User Content;
(c) represent and warrant that you have all necessary rights to grant the foregoing permissions; and
(d) grant to Causedirect and other users of the Platform the right to access, display, view, store and/or download such User Content, and post, re-post or forward such User Content to others.

13.9    You agree that Causedirect has no liability or responsibility for the storage or deletion of any User Content.

13.10    You also agree not to upload, distribute, or otherwise manipulate the Platform and/or the Portal of your Company, your Organization or of your City so as to spread any data or code through the Platform or the Portal of your Company, your Organization or of your City that:

(a) contains any virus, spyware, worm, Trojan horse or other computer malware, or post any other materials that may damage the operation of a computer; (b) uses any means, including spiders, robots, crawlers, data mining tools, or the like to scrape or download data from the Platform or from the Portal you may use;
(c) constitutes or contains affiliate marketing, link referral code, junk mail, spam, chain letters, pyramid schemes, unsolicited commercial advertisement or the like;
(d) promotes or forwards surveys, contests, raffles, lotteries, pyramid schemes, chain letters or the like; or
(e) contains any private, personally identifiable, financial, confidential, or proprietary information of another individual or entity without their written express permission.

14. Donor Information and Privacy (See also Causedirect’s Privacy Policy)

Privacy and security of your information is of vital importance to Causedirect and we will not share your profile and show your actions without your consent. 
Unless you request that your action and profile be kept anonymous, we may make it public as a source of inspiration for other users.


15. Credit Card Anti-Laundering Policy

You may not use a Donor’s card information or enter donations on a Donor’s behalf.  This practice is known as "credit card laundering" and is unlawful.
Misusing any Causedirect account in any way, including attempting to impersonate a card-holder or attempting to process unauthorized credit card transactions can lead to heavy fines and other severe penalties.  In addition, you will also put Causedirect’s credit card processing account in jeopardy.  Causedirect may report any such abuses to the appropriate authorities.


<16. Disclaimer of Warranties

The Platform, the Portals you may use and the services available on them are provided to you "as is" without warranty of any kind.
We disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability, or availability of any Platform and Portals Content or other information or materials displayed on the Platform and the Portals you may use.
We also expressly disclaim to the fullest extent permitted by law any and all responsibility and liability for the conduct of any Platform and Portals users, included but not limited to Featured Charities, Corporations, Intergovernmental Organizations, Higher Education Institutions, Cities or any Donors. Causedirect hereby disclaims any and all express or implied warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement.  Causedirect is not engaged in the provision of legal, tax, or other professional advice or services.  If you are in need of such services, you should contact the appropriate licensed and qualified professional.

17. Liability Limitation

You agree that neither Causedirect nor any of its affiliates will be liable to you, for any direct, indirect, consequential, exemplary, special, punitive or incidental damages whatsoever that arise out of or are related to the Platform, the Portals or the services provided by Causedirect and your use of, or inability to use, the Platform, the Portal or services.
Any claims arising from the Platform or from the Portals you may use must be brought within one year of the date on which liability arose.


18. Hold Harmless and Indemnify

Your use of the Platform, Portals and services provided by Causedirect is entirely at your own risk. 
You will hold harmless and indemnify Causedirect and its affiliates from and against any third-party claim arising from or in any way related to your use of the Platform, Portals and services provided by Causedirect, including without limitation any liability or expense arising from any claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees of every kind and nature.


19. Links to Other Websites and Content

We may include links to third-party websites or services on the Platform and may link you automatically to sponsor or third-party websites or services. 
These links do not mean that we review or endorse these third-party sites or services.  We provide such links when we believe such links may be helpful, but we do not monitor or accept any responsibility for such sites. Some of these sites may contain materials that are objectionable, unlawful or inaccurate;
therefore, you will be proceeding to these links at your risk and responsibility. You acknowledge that Causedirect is not responsible or liable for any content, advertising, products, services or other materials on these third-party sites.
  Any dealings that you have with advertisers or other third parties who may be found on or linked from the Platform are between you and the advertiser, for which you assume full responsibility and you acknowledge that Causedirect is not liable for any loss or claim you may have against an advertiser.


20. Changes to Services, Website and Terms of Use

We reserve the right to modify or terminate the services you are receiving from Causedirect or the Engagement Portals you may use for any reason and without notice, without liability to you or any third party.  We also reserve the right to modify these Terms with concurrent notice on the Platform. When you register with Causedirect, you will be asked to specifically accept these Terms.  You are responsible for regularly reviewing these Terms so that you will be apprised of any changes. Your continued use of the Platform or of the Portals following any changes to these Terms is your agreement to the changes and you are bound by the version of these Terms which is in force when you use the Platform or the Portal of your Organization or of your City.  If any changes to these Terms are unacceptable to you, you must cease use of the Platform or of the portal of your organization or City.


21. Notices

Causedirect may provide you with notices regarding the services provided by Causedirect, the Platform, the Portals or these Terms by regular mail, email or postings to the Platform or Portals.


22. International Use

The Website, the Platform and the Portals are controlled and operated from within Switzerland.  Causedirect makes no representation that the Platform or the Portals is appropriate or available in locations outside of Switzerland.
  Those who choose to access the Platform or the Portals from other locations are responsible for compliance with applicable laws.  Users must comply with all local rules regarding online conduct and acceptable content, including laws regulating the export of data from Switzerland or your country of residence.
  For the avoidance of doubt, you warrant that your use of the Platform or the Portals is not in violation of any applicable laws at your country of domicile.


23. Term and Termination

These Terms apply to your use of the services provided by Causedirect and the Portals at all times, irrespective of whether you register as a member.
Once you become a member, you may terminate your membership at any time by emailing info@causedirect.org and requesting that your account be closed, or your membership may be terminated by us at any time and for any reason.  After your membership terminates or expires, your obligations and our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions survive, but your right to use the services provided by Causedirect that are available only to members immediately ceases.
Causedirect reserves the right, at its sole discretion, to immediately, with or without notice, suspend or terminate these Terms and/or your access to all or a portion of the Platform or of the Portal you may use and/or remove any registration information or User Content from the Platform or the Portal you may use, for any reason (including if you breach any of the provisions of these Terms).  Causedirect also reserves the right to change the Platform and the Portals without notice to you, at any time.


24. Assignment

You may not assign, sublicense or otherwise transfer any right or obligation set forth herein without Causedirect’s prior written consent.  Any purported assignment in violation of the preceding sentence is void and of no effect. Causedirect may assign any of its rights or obligations under these Terms to another party without notice or consent for any reason. These Terms are binding upon the parties' respective successors and permitted assigns.


25. Miscellaneous

No waiver or forbearance to seek a remedy by any party of any breach by any other party of any of its covenants, obligations and agreements hereunder shall be a waiver of any subsequent breach of any other covenant, obligation or agreement. Except as otherwise expressly provided herein, all remedies provided for herein shall be cumulative and in addition to and not in lieu of any other remedies available to either party at law, in equity or otherwise. You and Causedirect shall act as independent contractors and nothing contained in these Terms shall be construed to:

(a) give either party the power to direct and control the day-to-day activities of the other;
(b) constitute the parties as representatives, agents, partners, joint venture participants, co-owners, employer/employee, franchisor/franchisee, or otherwise as participants in a joint or common undertaking; or
(c) allow either party to create or assume any obligation on behalf of the other party for any purposes whatsoever.


26. Entire Agreement

These Terms, together with the Privacy, the Cookie Policy and all technical specifications, rules of operation, security procedures and any other terms and conditions set forth by Causedirect from time to time on the Platform and on the Portals, constitute the entire agreement between the parties with respect to all of the matters covered herein and supersedes all other agreements, understandings and discussions of the parties.  If any provision of these Terms shall be held to be unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and will be deleted and replaced by a valid and enforceable provision which achieves, as far as possible, the same objectives as the severed provision was intended to achieve. The remaining provisions of these Terms shall continue in full force and effect.


27. Choice of Law and Dispute Resolution

These Terms and all matters arising from it (including the agreement below to refer any dispute under these Terms to arbitration) shall be governed by the laws of Switzerland.
You agree that any dispute, controversy, or claim arising out of, or in relation to, this contract, including the validity, invalidity, breach, or termination thereof, shall be resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Chambers’ Arbitration Institution (the “Rules”) in force on the date on which the Notice of Arbitration is submitted in accordance with these Rules.  The number of arbitrators shall be one or three.  The seat of the arbitration shall be Geneva, Switzerland.  The arbitral proceedings shall be conducted in English.
